Terms of Service

General terms and conditions of use of the Terminal® platform.

1. Acceptance of the Terms

These Terms of Service (the “Terms”) constitute a legally binding agreement between Bursaly Group LLC, a limited liability company organized under the laws of the State of Delaware, United States of America (“Terminal”, “we”, or the “Company”), and the natural or legal person that accesses or uses the platform available at terminalapp.ai and its associated services (the “User” or “you”).

By registering, purchasing a subscription, acquiring Token Packs, or using any feature of the platform, the User declares having read, understood and fully accepted these Terms, as well as the Privacy Policy, the Cookie Policy and the Refund Policy, all of which form an integral part of this agreement.

If the User does not agree with any of the clauses set forth herein, the User must refrain from using the platform.

  • User: the natural or legal person that accesses the Platform, with or without an active subscription.
  • Account: the individual record associated with a verified email address through which the User accesses the Platform.
  • Subscription: a recurring (monthly or annual) paid plan granting access to specific features of the Service.

  • Referred User: a User who signs up for Terminal through a Partner’s referral link, in accordance with the attribution rules of the Program.
  • Commission: percentage applied to the gross amount Terminal charges an Active Referred User, calculated according to the marginal ladder defined in section 18.2.

Token Packs

Prepaid digital balance for the consumption of specific AI features. Non-refundable and non-transferable.

All operating parameters (trial duration, lot minimums, grace periods) may be modified by the Company with prior notice to the User.

3.2. Accuracy and integrity of information

The Service displays financial data provided by licensed third parties (including without limitation Financial Modeling Prep, Finnhub, FRED, CoinGecko, Polygon and Twelve Data). The Company makes reasonable efforts to verify the integrity of such data but does not guarantee its accuracy, timeliness, completeness or continuity.

4. Registration and Account

To access the Service, the User must create an Account by providing a valid, verifiable email address. The User is solely responsible for:

  • The truthfulness and currency of the information provided at registration.
  • The safekeeping of the User’s access credentials.
  • All activities carried out from the User’s Account.

The User must be of legal age in the User’s country of residence and, in any event, at least eighteen (18) years old.

The Company may implement anti-fraud verification mechanisms, including without limitation email verification and device fingerprinting. Creating multiple accounts to circumvent commercial limits, extend trials or stretch promotions constitutes grounds for immediate suspension.

5. Payments, Billing and Subscriptions

5.1. Payment processing

All payments are processed by Stripe, Inc. (“Stripe”), a regulated external processor. The Company does not store nor have access to the User’s full credit- or debit-card data.

5.2. Auto-renewal

Subscriptions renew automatically at the end of each billing cycle (monthly or annual) unless the User cancels in advance. The User expressly authorizes the Company and Stripe to charge the corresponding amounts to the registered payment method.

5.3. Cancellation

The User may cancel the subscription at any time from the account panel. Cancellation takes effect at the end of the current billing cycle and does not generate a pro-rata refund, except as expressly provided in the Refund Policy.

5.4. Taxes

Published prices do not include applicable taxes, which may be added and withheld depending on the User’s jurisdiction.

5.5. Token Packs

Token Packs constitute prepaid digital balance. Once acquired and, in particular, once partially or fully consumed, they are non-refundable, non-transferable and non-redeemable for cash. Tokens may have an expiration date, which will be communicated at the time of purchase.

6. Acceptable Use

The User agrees to use the Service only for the legitimate and authorized purposes described in these Terms. The following are expressly prohibited:

  • Scraping, automated crawling or bulk extraction of data, content, analysis or reports from the Platform.
  • Reverse engineering, decompiling, disassembling or attempting to access the source code of the Service.
  • Reselling, sublicensing, redistributing or commercializing access, analyses, reports or any content generated by the Platform.
  • Sharing access credentials with third parties or allowing simultaneous use of the same Account by multiple persons.
  • Using the Platform to train third-party artificial-intelligence models without express written authorization.
  • Introducing malicious code, viruses, trojans or any element that compromises the security or integrity of the Service.
  • Impersonating another User, company or entity.
  • Using the Platform for fraudulent activities, money laundering, financing of terrorism or any other illicit conduct.
  • Circumventing technical control mechanisms, paywalls, token limits or quota restrictions.

Breach of any of the foregoing obligations may result in immediate suspension of the Account, without prejudice to any applicable legal action.

7. Nature of the Service and AI Limitations

7.1. The Service does NOT constitute financial advice

Terminal is a platform for financial analysis, education and tooling. The Company is NOT registered as an investment advisor with the U.S. Securities and Exchange Commission (SEC), the Commodity Futures Trading Commission (CFTC), Mexico’s Comisión Nacional Bancaria y de Valores (CNBV), or any other financial regulator.

Information, analysis, Lumia Research reports, alerts, signals, commentary and any content generated or distributed through the Platform — including content produced by Lumia™ — is provided exclusively for educational, informational and research purposes. It does NOT constitute:

  • A personalized recommendation to buy, sell or hold financial instruments.
  • A professional investment thesis issued by a registered analyst, nor research equivalent to that produced by regulated broker-dealers or investment advisers.
  • Investment, financial, tax, legal or accounting advice.
  • An offer or solicitation of an offer to sell securities in any jurisdiction.
  • Portfolio management, discretionary management or custody of User assets.

The User expressly acknowledges that every investment decision is made under the User’s sole responsibility, and that the User should consult an independent, duly licensed financial advisor in the User’s jurisdiction before making any economically meaningful decision.

7.2. Specific nature of Lumia Research reports

Reports produced under the commercial name Lumia Research are informational documents generated by Lumia™ from public financial data of the issuer (financial statements, historical multiples, analyst consensus and macro data). Despite a presentation similar to that of an institutional research report, the User expressly acknowledges and accepts that:

  • They are NOT professional investment theses, nor are they equivalent to a report issued by a registered research firm.
  • They do NOT contain recommendations to buy, sell, hold, or weight any specific security in a portfolio.
  • They do NOT take into account the User’s personal financial situation, investment objectives, risk tolerance or time horizon.
  • They have NOT been reviewed or approved by a certified financial analyst, broker-dealer or registered investment advisor.
  • They may contain errors, omissions, outdated data or faulty reasoning derived from the inherent limitations of artificial intelligence models.

Use of the Lumia Research brand refers to the nature of the tool (AI-assisted research over public data) and does not imply that the content constitutes regulated financial research. Any interpretation, investment decision or action taken on the basis of a Lumia Research report is the sole responsibility of the User.

7.3. Market risk

Financial instruments — including equities, derivatives, currencies, commodities and digital assets — carry substantial risk of loss. Past returns do not guarantee future returns. The User may lose all or even more than the invested capital (in the case of leveraged instruments).

7.4. Limitations of the Lumia™ assistant

Lumia™ is an assistant built on top of large language models. Outputs generated by Lumia™ may contain errors, inaccuracies, omissions, outdated data, faulty reasoning or unverifiable claims (“hallucinations”). The User acknowledges and agrees that:

  • Lumia™ responses and analyses must be independently verified before any substantive use.
  • Lumia™ does not have real-time knowledge of the entire market nor access to material non-public information.
  • The Company does not guarantee the availability, continuity or specific quality of Lumia™ outputs.

7.5. Trading ideas, Quant Strategies, Trading Desk and algorithmic content published on the Platform

Within the Trading Desk module, Terminal® publishes ideas and strategies generated by quantitative algorithms and artificial intelligence (the “Algorithmic Ideas”), including, without limitation, the products marketed under the names “Quant Strategies”, “Trading Desk”, “SwingPro Stocks”, “Gold Quantum Trends” and any other strategy the Company may add in the future. The User expressly acknowledges, understands and accepts the following:

(a) Algorithmic Ideas are NOT trading signals, investment recommendations or financial advice. They are solely quantitative exercises, statistical observations and graphical representations of algorithmic outputs published for informational, educational and entertainment purposes only. No Algorithmic Idea constitutes a recommendation, offer, invitation, advice or solicitation to buy, sell, hold or trade securities, derivatives, currencies, commodities, digital assets or any other financial instrument, nor in general a proposal to enter into market transactions. They must not be construed as “signals” in the regulatory sense nor as discretionary portfolio management.

(b) Algorithmic generation and inherent fallibility. Algorithmic Ideas are produced, in whole or in part, by automated systems, quantitative models, scoring engines, neural networks, large language models and artificial-intelligence routines. These systems operate on historical data, statistical assumptions and heuristics that may be incomplete, contain errors, become outdated or react inappropriately to unanticipated market conditions. The Company expressly acknowledges and the User accepts that the algorithms MAKE MISTAKES regularly and predictably, including false flags, inaccurate technical levels, stop executions away from the expected price, target fills that never materialised in real data, divergences from the price feed used by the User's broker, and material deviations from the displayed historical performance.

(c) Past performance; no guarantee of future returns. Historical metrics displayed in the Trading Desk (including win rate, cumulative return, annualised return, profit factor, equity curve, sparklines, ideas closed at a profit or loss, and any other indicator) reflect theoretical or simulated executions, computed on hindsight-aware data with ideal entry and exit assumptions that the User will likely NOT be able to replicate in real operation because of slippage, commissions, feed differences, latency, opening gaps, illiquidity, partial fills or market interruptions. Past performance, whether simulated or real, does NOT guarantee, suggest or imply equivalent future results. Any prior performance may reverse.

(d) Full risk borne by the User; sole responsibility. The decision to use, replicate, execute, modify or ignore any Algorithmic Idea rests solely and exclusively with the User, acting on their own account and at their own risk. The User is the sole party responsible for assessing the suitability of each Algorithmic Idea against their risk profile, financial situation, investment objectives, jurisdiction and applicable regulatory framework, as well as for any costs, commissions, taxes, margin requirements, margin calls, forced liquidations and any other consequences arising from executing an operation based on information obtained on the Platform. Neither Terminal®, nor Bursaly Group LLC, nor Lumia™, nor any of their officers, employees, shareholders, business partners, partners, affiliates, associates, licensors, data providers or subcontractors (the “Indemnified Parties”) acts as the User's agent, fiduciary, advisor, intermediary, broker, investment manager, custodian or counterparty.

(e) Waiver and release of liability. To the maximum extent permitted by applicable law, the User expressly, irrevocably and fully waives any claim, action, demand, complaint or proceeding, whether civil, commercial, administrative, regulatory, criminal or of any other nature, against the Indemnified Parties arising out of or related, directly or indirectly, to: (i) the use, replication or execution of any Algorithmic Idea; (ii) any loss, damage, lost profit, consequential damage, moral damage, lost opportunity, data loss or reputational harm suffered in connection with market transactions executed by the User; (iii) errors, delays, omissions, algorithmic failures, AI hallucinations, differences between data feeds, maintenance windows, Service interruptions or Platform outages; (iv) third-party behaviour, including brokers, custodians, exchanges, data providers and payment processors; and (v) any tax, regulatory or legal consequence arising from their investment decisions.

(f) Duty to consult an advisor. Before acting on any Algorithmic Idea, the User undertakes to consult a duly licensed financial, tax and/or legal advisor in their jurisdiction and to independently evaluate the suitability and risks of any operation. Failure to do so is the User's sole responsibility.

(g) Enhanced indemnity for use of Algorithmic Ideas. In addition to Section 14 (Indemnification), the User agrees to defend, indemnify and hold the Indemnified Parties harmless against any claim by third parties, authorities or regulators originating from or related to the User's use or replication of any Algorithmic Idea, including reasonable legal-defence costs, attorneys' fees, penalties, fines and amounts paid in settlement.

8. Intellectual Property

All content, code, design, trademarks, logos, algorithms, documentation, templates and educational materials of the Platform — including the Terminal® and Lumia™ trademarks — are the exclusive property of Bursaly Group LLC or its licensors, and are protected by applicable intellectual-property laws.

By accepting these Terms, the Company grants the User a limited, personal, non-exclusive, non-transferable and revocable license to use the Platform exclusively for personal or internal professional purposes, while the Account is active and current on payments.

This license does not include the right to redistribute, modify, sell, adapt, create derivative works or make commercial use of the content.

9. User Content

The User retains ownership of the User Content uploaded to the Platform. However, the User grants the Company a worldwide, non-exclusive, royalty-free license, revocable upon termination of the Account, to store, process, reproduce and display such Content for the sole purpose of operating and improving the Service.

The User represents and warrants that the User has all necessary rights to the User Content and that it does not infringe third-party rights or applicable law.

10. Third-Party Integrations and Affiliate Disclosure

The Platform integrates with external providers for the proper functioning of the Service, including: Stripe (payment processing), Financial Modeling Prep and Finnhub (financial data), Anthropic (language models powering Lumia™), Resend (transactional email), Bunny.net (CDN and storage) and the affiliated broker (affiliate broker).

10.1. Affiliated broker program

The Company maintains a commercial relationship with a third-party financial broker. When the User registers with that broker through affiliate links provided by Terminal, the Company receives referral commissions proportional to the User’s trading volume. The User expressly acknowledges this potential-conflict-of-interest relationship and agrees that the analytical content of the Platform must not be interpreted as inducement to trade with a specific broker.

The Company does not custody User funds, does not operate trading accounts on the User’s behalf, and does not guarantee the services, security or solvency of the affiliated broker or other affiliated brokers. Any dispute related to the opening, operation, deposit, withdrawal or management of accounts at the affiliated broker shall be resolved directly between the User and that third party.

11. Suspension and Termination

The Company reserves the right to suspend, limit or terminate the User’s access to the Service, in whole or in part, immediately and without refund, in the following cases:

  • Breach of any provision of these Terms or the other policies.
  • Fraudulent, suspicious or unlawful use.
  • Non-payment or recurring payment failures.
  • Attempts to circumvent technical or commercial limitations.
  • Order from a competent authority.

The User may terminate this agreement at any time by closing the Account. The clauses regarding intellectual property, limitation of liability, indemnification, governing law and dispute resolution survive termination.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT EXPRESS OR IMPLIED WARRANTY OF ANY KIND, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OF RESULTS OR ABSENCE OF ERRORS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL IMPLIED WARRANTIES.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BURSALY GROUP LLC, ITS SHAREHOLDERS, DIRECTORS, EMPLOYEES, LICENSORS AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, NOR FOR LOST PROFITS, LOST REVENUE, LOST INVESTMENT OPPORTUNITY, LOSS OF DATA OR REPUTATIONAL HARM, ARISING FROM OR RELATED TO THE USE OR INABILITY TO USE THE SERVICE.

THE COMPANY’S MAXIMUM AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE TOTAL AMOUNT ACTUALLY PAID BY THE USER TO THE COMPANY DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain liability limitations; in such cases, the limitations apply to the maximum extent permitted by local law.

14. Indemnification

The User agrees to defend, indemnify and hold harmless the Company, its shareholders, directors, employees, licensors and affiliates from any claim, demand, damage, loss, penalty, expense or cost (including reasonable legal fees) arising from: (i) the User’s use of the Service; (ii) the User’s breach of these Terms; (iii) the User Content uploaded to the Platform; or (iv) the User’s infringement of third-party rights.

15. Modifications to the Terms

The Company may modify these Terms at any time. Modifications will be notified to the User by email or via a visible notice on the Platform, with at least fifteen (15) calendar days’ advance notice before they take effect, unless the modification is required by law or regulation, in which case it may apply immediately.

Continued use of the Service after the modifications take effect constitutes acceptance thereof. If the User disagrees, the User must cancel the Account before the effective date.

16. Governing Law, Arbitration and Dispute Resolution

16.1. Governing law

These Terms are governed by and interpreted in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws rules.

16.2. Binding arbitration

Any dispute, controversy or claim arising from or related to these Terms or the Service shall be definitively resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Rules, seated in Wilmington, Delaware, in English or Spanish at the User’s choice, with a sole arbitrator. The arbitral award shall be final and enforceable in any court of competent jurisdiction.

16.3. Class-action waiver

THE USER AND THE COMPANY AGREE THAT DISPUTES SHALL BE RESOLVED SOLELY ON AN INDIVIDUAL BASIS AND WAIVE THEIR RIGHT TO PARTICIPATE IN ANY CLASS, COLLECTIVE, MASS OR REPRESENTATIVE ACTION.

16.4. Exceptions

Notwithstanding the foregoing, the Company reserves the right to seek injunctive or precautionary relief in courts of competent jurisdiction to protect its intellectual-property rights.

17. General Provisions

17.1. Entire agreement

These Terms, together with the Privacy Policy, the Cookie Policy and the Refund Policy, constitute the entire agreement between the parties regarding the Service and supersede any prior agreement, written or oral.

17.2. Severability

If any provision of the Terms is declared invalid or unenforceable by a competent court, the remaining provisions shall remain in full force and effect.

17.3. Assignment

The User may not assign rights or obligations without the Company’s prior written consent. The Company may freely assign the Terms to any affiliate or in the context of a merger, acquisition or asset sale.

17.4. Non-waiver

The Company’s failure to exercise any right under these Terms does not constitute a waiver of that right.

17.5. Force majeure

The Company shall not be liable for breach caused by events of force majeure or acts of God, including without limitation failures of third-party infrastructure, cyberattacks, abrupt regulatory changes or catastrophic events.

17.6. Language

The Spanish version of these Terms is the official, controlling version. Any translation into another language is provided as a courtesy only. In case of discrepancy, the Spanish version prevails.

18. Partners Program (Referral Commissions)

Terminal operates a referral commission program (the “Partners Program”) under which Users may generate personalized referral links and earn a percentage on the gross payments Terminal receives from Referred Users attributed to those links.

18.1. Enrollment and eligibility

Any User with an active Account on Terminal participates automatically as a Partner, with no application, form or prior approval required. The referral link is assigned at the time of Account creation and is visible in the User’s panel. The Company reserves the right to exclude — pursuant to sections 18.7 and 18.9 — any User whose participation may compromise the integrity of the Program.

18.2. Commission structure (marginal ladder)

The Commission is calculated on the gross amount Terminal charges the Referred User (public subscription price), applying the following marginal ladder based on the number of Active Referred Users of the Partner at the time of the charge:

  • 1 to 1,000 referrals: 10%
  • 1,001 to 2,000 referrals: 15%
  • 2,001 to 3,000 referrals: 20%
  • 3,001 to 4,000 referrals: 25%
  • 4,001 to 5,000 referrals: 30%
  • 5,001 referrals and above: 35%

Each percentage applies only to the bracket of Referred Users it corresponds to (marginal structure). Climbing to a new level does not reduce the Commission generated by referrals previously attributed to lower brackets. Both the Pro and Premium plans generate Commission under the same ladder. Access via the the affiliated broker plan does not generate Commission, except by specific arrangement documented separately between the Company and the Partner.

For annual upfront payments, the Commission is calculated on the full amount charged to the Referred User in a single payment for that cycle; the next Commission for that User will be generated upon renewal.

18.3. Definition of Active Referred User

For purposes of the Program, an “Active Referred User” is one whose subscription, during the relevant billing cycle, simultaneously meets all of the following conditions:

  • Subscription status: current and paid up.
  • Has not requested a refund of the current charge.
  • Is not in a paused or suspended state nor in a grace period due to failed payment.

Loss of any of these conditions interrupts the generation of Commission for that billing cycle and excludes the Referred User from the count toward the Partner’s level for as long as those conditions are not restored.

18.4. Commission availability period (7-day hold)

Every Commission generated by a charge to the Referred User remains in “pending” status during the seven (7) calendar days following the date of that charge. This period coincides with the refund window applicable to the Referred User under Terminal’s Refund Policy.

  • If during those 7 days the Referred User obtains a full or partial refund, the corresponding Commission is automatically voided and will not be released to the Partner.
  • From the eighth (8th) day after the charge, and provided no refund or grounds for cancellation under section 18.7 has occurred, the Commission becomes “available” and may be requested for withdrawal by the Partner.
  • Each charge generates its own independent availability period; the 7-day computation does not run on a calendar-month basis.

18.5. Withdrawals and payment method

  • Withdrawals are processed in USDT on the Tron network (TRC20 standard).
  • The minimum withdrawal amount is USD $15 (or USDT equivalent) in available status at the time of the request.
  • The Partner requests the withdrawal from the panel; payments are processed within reasonable timeframes after the request, subject to operational and compliance verifications by the Company.
  • The Partner is solely responsible for providing a correct wallet address compatible with the Tron network (TRC20). The Company assumes no liability for losses arising from wallets, networks or services external to the Partner, nor for errors in the address provided by the Partner.
  • The Company does not guarantee the continuous availability of the Tron network nor of USDT as the underlying asset and may modify the payment method upon reasonable notice to the Partner.

18.6. Taxes

Commissions are transferred to the Partner at their gross amount, without tax withholding by the Company. The Partner is solely responsible for declaring, withholding, self-assessing and paying all taxes, contributions and fiscal charges applicable in the Partner’s jurisdiction of residence under local law. The Company does not provide tax advice and will not issue withholding certificates as no withholdings are made. The Partner agrees to hold the Company harmless from any claim arising from the breach of the Partner’s tax obligations.

18.7. Prohibited conduct

The following constitute prohibited conduct that may result in the voiding of Commissions, suspension of the referral link and/or immediate expulsion from the Program, without prejudice to any applicable legal action:

  • Self-referrals: using one’s own link to enroll the User’s own accounts or related accounts (immediate family, accounts under the same User’s control, or accounts linked to the same payment method).
  • Creating multiple or fictitious accounts to inflate the number of referrals or Active Referred Users.
  • Manipulating the attribution system through cookie stuffing, deceptive redirects, automated scripts or other technical mechanisms.
  • Conducting misleading or false advertising, or misrepresenting the features, functionality, scope or pricing of the Service.
  • Spam, unsolicited messaging or any promotion that violates applicable law or the policies of the platforms used (including without limitation social networks, email, SMS and instant messaging).
  • Using Terminal’s registered trademarks, logos or graphic materials outside the guidelines of the official marketing kit.
  • Inducing charges, subscriptions or payments on behalf of third parties who did not expressly authorize the transaction.
  • Any other conduct that, in the Company’s reasonable judgment, constitutes fraud, abuse of the Program or breach of these Terms.

18.8. Fraud detection

The Company implements technical and manual monitoring mechanisms aimed at detecting fraudulent or abusive conduct within the Program. The Company is not required to disclose the specific operation of such mechanisms. Detection of fraudulent or suspected fraudulent activity may result, depending on severity and at the Company’s reasonable discretion, in one or more of the following actions:

  • Immediate suspension of the referral link.
  • Voiding of Commissions arising from the fraudulent activity, even if they were already in available status or had already been transferred to the Partner.
  • Reversal of prior payments made on the basis of such activity, via offset against available balances or, failing that, through direct claim against the Partner.
  • Permanent expulsion from the Partners Program.
  • Civil or criminal legal action if the conduct constitutes fraud under applicable law.

18.9. Suspension and termination of participation

Without prejudice to the grounds set forth in section 18.7, the Company may suspend or cancel a Partner’s participation in the Program for any of the following reasons:

  • Breach of these Terms or of any applicable Terminal policy.
  • The Partner’s express request.
  • Prolonged inactivity of the Partner’s Account, as reasonably defined by the Company.
  • Reasoned decision of the Company on commercial, regulatory, Program-protection, risk-management or compliance grounds.

Cancellation of the Program for a Partner entails the cessation of the generation of new Commissions from the date of the decision. Commissions that, at the time of cancellation, are in available status and do not arise from fraudulent activity may be withdrawn by the Partner under the ordinary procedure, except for justified retention under the grounds of section 18.8.

18.10. Modifications to the Program

The Company reserves the right to modify, at any time, the Commission ladder percentages, the Active Referred User brackets, the availability periods, the minimum withdrawal amounts, the payment methods and any other operational condition of the Program, communicating such changes with reasonable advance notice through the Partner’s panel or by email. Modifications will apply to Commissions generated from the effective date of the change; Commissions already generated under the prior rules will not be retroactively affected.

18.11. Nature of the relationship

Participation in the Partners Program does not create an employment, corporate, mandate, agency or representation relationship between the Partner and the Company. The Partner acts as an independent contractor and promoter of the Service under the terms of this section, bearing on the Partner’s own account all costs associated with the promotional activity.

18.12. Included Premium access for Partners

While their participation remains active and in good standing, every Partner with an active Account is granted access to Terminal’s Premium plan at no additional cost, so that they may use and become familiar with the features they recommend to their audience. This access is subject to the following conditions:

  • It is personal and non-transferable, tied exclusively to the Partner’s Account. It may not be assigned, shared, resold, or redeemed for cash, credits, tokens or any other product.
  • Loss of Partner status under the grounds set forth in sections 18.7, 18.8 or 18.9 results in the automatic and immediate loss of the included Premium access, with no right to any compensation.
  • The Company reserves the right to modify the conditions of this benefit (including setting minimum-activity requirements, Active Referred User thresholds, or other reasonable conditions) or to discontinue it entirely, communicating such changes with reasonable advance notice in accordance with section 18.10.
  • The included Premium access does not give rise to any right to refund, return or compensation in the event of modification, suspension or discontinuation of the benefit.

19. Communications

19.1. Types of communications

By registering, the User acknowledges and agrees that the Company may send the following email communications:

(a) Transactional and security. Account verification, password reset, payment confirmations, failed charge notifications, login alerts, material changes to the Account or the Service, legal communications and regulatory notices. These are inherent to the provision of the Service and cannot be opted out of while the Account remains active.

(b) Operational and product. Feature updates, reminders related to the User's plan, usage instructions and educational content about the Platform. The User may opt out from the link included in each email or from the Account panel.

(c) Marketing and promotional. Educational market content, industry updates, offers, promotions, surveys and communications related to the Partners Program. The User's acceptance of these Terms at registration constitutes express and informed consent to receive these communications, in accordance with applicable law. The User may withdraw such consent at any time through the unsubscribe link included in each email, without affecting the communications under categories (a) and (b).

19.2. Associated data processing

To personalize communications, measure their effectiveness and keep the User's profile information up to date, the Company processes information regarding the User's plan, basic in-Platform activity and usage level. This processing is governed by the Privacy Policy. The Company uses third-party processors to deliver the emails, subject to contractual confidentiality and security obligations.

19.3. Email address

Communications are sent to the email address registered to the Account. The User is responsible for keeping such address current and accessible; any changes must be updated from the Account panel.

20. Contact

Any communication, notice, request or claim must be addressed to:

  • Bursaly Group LLC
  • Email: [email protected]
